Please read these Terms and Conditions ("Terms") carefully before using any theme or app ("Product") provided by ZENCLAB, operated by CYBERC REMOTE SERVICES S.R.L., ("Company," "we," "us," or "our"). By purchasing, installing, or otherwise using a Product from ZENCLAB, you agree to be bound by these Terms. If you do not agree with any part of these Terms, do not use our Products.

1. Acceptance of Terms

By purchasing, installing, or using any ZENCLAB Product, you acknowledge that you have read, understood, and agree to be bound by these Terms. These Terms constitute a legally binding agreement between you and the Company regarding your use of our Products.

2. Definitions

"Products" refer to custom-built or off-the-shelf Apps and Themes created by ZENCLAB.
Unless explicitly stated otherwise in writing, all Products are provided under a temporary, non-exclusive, and non-transferable right of use. No ownership is transferred to the Customer.

3. License Grant

3.1 Standard License:

Upon payment of a one-time fee, the Standard License grants you a non-exclusive, non-transferable right to use the selected ZENCLAB Theme on a single Zendesk Help Center instance. Customizations are limited to settings available through the theme configuration interface (e.g., colors, fonts, images, and links). Source code access is not included unless specified.

3.2 Developer License:

This license includes all rights under the Standard License, plus access to the full source code, allowing for HTML, CSS, and JavaScript modifications. This license is intended for technically proficient users and applies to a single Zendesk Help Center instance (or equivalent platform, as specified at purchase).

3.3 App License:

For ZENCLAB Apps, you are granted a limited, non-exclusive, non-transferable right to install and use the app within the constraints of your Zendesk (or other platform) environment. Apps may be subject to monthly or annual subscription fees, and use is permitted only during the active subscription period.

4. Restrictions

You agree not to:

  • Resell, sublicense, or redistribute the Product in any form.

  • Use the Product in violation of applicable laws or regulations.

  • Modify or reverse engineer the Product beyond permitted customization or without express written consent.

  • Circumvent license limitations or copy protection mechanisms.

5. Ownership

All intellectual property rights, including source code, design, trademarks, and documentation, remain the sole property of ZENCLAB / CYBERC REMOTE SERVICES S.R.L. These Terms do not constitute a sale and do not convey to you any rights of ownership in or related to any Product.

6. Payment and Refunds

All fees are either one-time payments (for themes) or subscription-based (for apps). Refunds, if available, are subject to our Refund Policy. Please refer to our website or contact us directly for specific refund conditions.

7. Warranty Disclaimer

All Products are provided "as is" without warranties of any kind. We do not guarantee that our Products will meet your requirements, operate uninterrupted, or be error-free. Use is at your own risk.

8. Limitation of Liability

In no event shall ZENCLAB be liable for indirect, incidental, special, consequential, or punitive damages, including loss of profits, revenue, or data. Your sole remedy for dissatisfaction with a Product is to stop using it.

9. Indemnification

You agree to indemnify and hold harmless ZENCLAB and its affiliates from any claims, damages, losses, or expenses (including legal fees) related to your use of the Product, your violation of these Terms, or your infringement of any third-party rights.

10. Modifications to the Terms

We reserve the right to update these Terms at any time. Changes are effective immediately upon posting on our website. Continued use of the Products constitutes acceptance of the revised Terms.

11. Termination

We may terminate your license and access to any Product immediately and without notice if you violate these Terms. Upon termination, you must cease all use and destroy any copies of the Product in your possession.
